Spiff Program Terms and Conditions

1. Eligibility
1.1 The Bates Fishing Co. Spiff Program (“Program”) is open to employees (“Participants”) of retail stores (“Retailers”) that sell Bates Fishing Co. products. Participants must be legal residents of the United States. 1.2 Participants must be employed by a Retailer that is an authorized dealer of Bates Fishing Co. products. 1.3 Employees, officers, directors, and representatives of Bates Fishing Co., its affiliates, subsidiaries, and advertising or promotional agencies, and their immediate family members or those living in the same household are not eligible to participate in the Program.

2. Program Overview
2.1 The Program rewards Participants for the sale of qualifying Bates Fishing Co. products. Approved sales submissions will earn spiff points (“Points”) redeemable for Bates Fishing Co. products or other designated rewards. 2.2 All sales submissions must be approved by Bates Fishing Co. and must comply with the submission guidelines detailed in Section 4.

3. Program Duration
3.1 The Program will run for the period specified by Bates Fishing Co., and Bates Fishing Co. reserves the right to modify, extend, or terminate the Program at any time without prior notice.

4. Submission Process
4.1 Participants must submit their sales for approval through the designated online portal or other approved methods specified by Bates Fishing Co. 4.2 Sales submissions must include all required documentation and information, including but not limited to proof of sale, product details, and Retailer information. 4.3 Submissions must be made within the timeframe specified by Bates Fishing Co. for the sale to be eligible for Points. 4.4 Abuse of Submission Process: Any attempt to abuse the Program by submitting incorrect, fraudulent, or misleading sales information, including inflated or fabricated sales numbers, will result in immediate penalties. If such abuse is detected: – The Participant’s spiff account will be suspended and all accrued Points will be forfeited. – The entire Retailer/Dealer account associated with the abuse will be permanently removed from the Program, disqualifying all of its employees from further participation.

5. Points and Rewards
5.1 Points are awarded at the sole discretion of Bates Fishing Co. based on the sale of qualifying products. 5.2 Points have no cash value and are non-transferable. Points may only be redeemed for rewards specified by Bates Fishing Co. 5.3 Bates Fishing Co. reserves the right to substitute any reward with another of equal or greater value. 5.4 Points must be redeemed within the timeframe specified by Bates Fishing Co. Unredeemed Points will expire after this period.

6. Compliance with Laws
6.1 The Program is subject to all applicable federal, state, and local laws and regulations. Participation in the Program constitutes the Participant’s full and unconditional agreement to comply with these Terms and Conditions and any decisions made by Bates Fishing Co., which are final and binding in all matters related to the Program. 6.2 Any form of fraud, misrepresentation, or violation of these Terms and Conditions may result in disqualification from the Program, forfeiture of Points, and potential legal action.

7. Taxes
7.1 Participants are solely responsible for any taxes, including federal, state, and local taxes, arising from the receipt of Points or rewards. Bates Fishing Co. may issue IRS Form 1099 or other applicable forms to report the value of rewards received.

8. Privacy
8.1 Bates Fishing Co. will collect and use personal information from Participants solely for the purpose of administering the Program and in accordance with its Privacy Policy. 8.2 By participating in the Program, Participants consent to the collection, use, and disclosure of their personal information as described in these Terms and Conditions and the Bates Fishing Co. Privacy Policy.

9. Limitation of Liability
9.1 Bates Fishing Co. is not responsible for any errors, omissions, interruptions, deletions, defects, delays in operation or transmission, theft, or destruction of any submission, or unauthorized access to or alterations of submissions. 9.2 In no event will Bates Fishing Co. be liable for any indirect, special, incidental, or consequential damages arising out of or in connection with the Program.

10. Amendments
10.1 Bates Fishing Co. reserves the right to amend these Terms and Conditions at any time without prior notice. Any changes will be effective immediately upon posting of the revised Terms and Conditions.

11. Governing Law
11.1 These Terms and Conditions are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. 11.2 Any legal proceedings arising out of or related to the Program shall be instituted in the federal or state courts located in Celina, Texas, and Participants agree to submit to the jurisdiction of such courts.
